International Service Agreement

Manifesto is based in Tirana, Albania, and provides digital marketing services globally. These terms are governed by Albanian law while respecting applicable consumer protection laws in your jurisdiction.

Service Delivery

Services are delivered remotely via digital channels
Project timelines are estimates and may vary based on scope changes
We provide regular updates and maintain open communication
Client feedback and approval are required at key milestones

3. Payment Terms

Pricing and Currency

Prices are quoted in USD, EUR, or ALL (Albanian Lek) based on client preference
All prices exclude applicable taxes (Albanian VAT 20% for local clients)
International clients may be subject to their local tax obligations
Prices are valid for 30 days from quotation date

Payment Schedule

Projects under €4,000: 100% payment upfront
Projects €4,000-€12,000: 50% upfront, 50% on completion
Projects over €12,000: Milestone-based payments as agreed
Monthly services: Paid in advance on the 1st of each month
Payment methods: Bank transfer, PayPal, Stripe (cards)

Late Payments

Invoices are due within 14 days of issue
Late payments may incur interest as per Albanian commercial law
Services may be suspended for accounts over 30 days overdue
Collection costs may be charged to the client

4. Client Responsibilities

Content: Provide accurate, legal, and appropriate content
Access: Provide necessary system access and credentials
Feedback: Respond to requests within agreed timeframes
Compliance: Ensure all materials comply with applicable laws
Cooperation: Participate actively in the project process

5. Intellectual Property

Client-Owned Content

You retain ownership of all content you provide
You grant us license to use content for project delivery
You warrant that you have rights to all provided content

Developed Materials

Custom code and designs become your property upon full payment
Third-party components remain subject to their respective licenses
We retain rights to general methodologies and know-how

6. Warranties and Disclaimers

Service Warranties

We warrant services will be performed with professional skill
We provide 30-90 day warranty on deliverables (varies by service)
We will correct defects at no additional charge during warranty period

Disclaimers

No guarantee of specific business results or ROI
Third-party service availability is beyond our control
Internet and technology risks are inherent in digital services

7. Limitation of Liability

Our liability is limited to the amount paid for services in the 12 months preceding the claim. We are not liable for:

Indirect, consequential, or punitive damages
Loss of profits, data, or business opportunities
Third-party actions or service interruptions
Force majeure events beyond our reasonable control

8. Termination

Termination by Client

30 days written notice for ongoing services
Immediate termination with payment for work completed
No refund for prepaid services already delivered

Termination by Us

Non-payment after 30 days past due
Breach of terms not cured within 14 days notice
Illegal or unethical use of our services

9. Confidentiality

We maintain strict confidentiality of client information
Non-disclosure agreements available upon request
Client data is protected according to our Privacy Policy
Confidentiality survives termination of services

10. Governing Law and Disputes

Governing Law: These terms are governed by the laws of the Republic of Albania
Jurisdiction: Courts of Tirana, Albania have exclusive jurisdiction
Consumer Protection: Consumer protection laws of your country may also apply
EU Clients: EU consumer rights and GDPR protections remain applicable
Dispute Resolution: We encourage mediation before litigation

11. Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or global pandemics.

12. Changes to Terms

We may update these terms with 30 days notice
Continued use of services constitutes acceptance
Material changes require explicit agreement
